 TAXES

 

Buyer agrees to pay all applicable federal, state or local manufacturer’s sales or use taxes, or any other tax now or hereafter levied upon this agreement or upon any items sold or work performed or any shipments to be made hereunder.

 

 DELIVERY

 

Shipping dates are approximate, and deliveries are subject to unavoidable delays.  Nonperformance or delay in performance by Seller shall be excused if caused by strikes, fires, riots, accidents or Acts of God, compliance with any government regulation or order, whether or not such regulation or order by valid, or by any other condition or circumstances of like or unlike character beyond Seller’s control which affects the receipt of materials, or the manufacture or delivery of any of the items or performance of the work.  The sole remedy for any unexcused late delivery shall be cancellation of the applicable order (only) in writing to the Seller at address shown on the attached form with no further liability by Seller or Buyer.  The prices and charges stated herein for the items and/or the work covered by this order shall be adjusted to account for changes in labor and material costs herefafter incurred by Seller and/or items may be invoiced by Seller at Seller’s prices and charges in effect at time of shipment.

 

TERMS

 

Unless indicated to the contrary on the face of the attached document, all shipments are FOB Seller’s office at address shown on the front of the attached document and are subject to Seller’s terms of payment indicated therein.  Buyer agrees to pay costs of collection including reasonable attorney fees if collection costs are incurred through Buyer’s late payment.  Upon Buyer’s failure to made any payment covered by or related to this instrument, and/or Buyer’s default with respect to any agreement between Seller and Buyer, Seller shall have the right (a) to cause all of Buyer’s obligations to Seller hereunder whether or not then due, payable and/or performance on demand and Buyer

consents that Seller may at any time thereafter maintain an action for all sums payable to Buyer to Seller and/or (b) treat any of the same as a breach hereof and/or of all agreements between Buyer and Seller.

 

LAW

 

Any agreement arising here from shall be interpreted under the laws of the State of Sale

as shown on the attached document. 

 

CONFORMING GOODS

 

Items and/or work not rejected (or acceptance revoked) in writing to Seller at the address shown on the attached document, within 30 days after shipment shall be deemed conforming goods and/or conforming work.  Seller’s sole obligation respecting non-conforming goods as to rejected items will be to replace the same with conforming goods or at its option, to refund the purchase price upon return of non-conforming goods.  Seller’s sole obligation respecting non-conforming work so rejected will be to re-perform the work or at its option to refund sums paid by Buyer to Seller thereof.

 

LIMITATION OF LIABILITY

 

Buyer’s only remedies are as set forth in Paragraphs 3, 5 and 8 above.  Seller will not be liable for direct or indirect consequential or incidental damages or lost profits whether or not resulting from negligence or lack of due care, defective workmanship or material or failure of products or parts to comply with specifications described above.

 

BUYERS TOOLS

 

Any equipment (including inter-alia jigs, dies, tools, bores, molds and the like [customer tools]) which Seller constructs or acquires for use exclusively in the production of any items and/or performance of the work for Buyer shall be and remain the property of Seller and shall remain in Seller’s possession and control.  Buyer’s interest, if any, in customer tools shall be set forth in a separate agreement between Buyer and Seller, a copy of which will be held in Seller’s offices as shown on attached document.  

 

CANCELLATION POLICY

 

The Pennsylvania Globe Gaslight Company reserves the right to limit cancellations on custom or non-stocked components.  In the event of cancellation, the customer agrees to reimburse Pennsylvania Globe Gaslight Company for costs incurred by Pennsylvania Globe Gaslight Company in producing the order until cancellation date in an amount not to exceed the value of the order.
